NowNook Founding Creator Agreement

1. PARTIES

This agreement is between:

NowNook Ltd, a company registered in England & Wales (“NowNook”, “we”, “us”)

and

You, the Creator (“you”).

This agreement becomes effective when you accept it via the NowNook onboarding flow.

2. WHAT NOWNOOK IS

NowNook is a curated cultural discovery platform for limited, intentional, story-led drops.

We are not a traditional marketplace.

We do not operate an infinite catalogue.

We do not prioritise algorithms over people.

NowNook exists to:

• Surface limited, finite, story-led drops

• Provide context, narrative, and cultural framing

• Help creators test, express, and validate meaning — not just sell products

NowNook does not guarantee sales, conversion rates, or commercial outcomes.

3. WHAT NOWNOOK PROVIDES

As a Founding Creator, you receive:

• A curated creator profile on NowNook

• Story-led product presentation (editorial-style)

• Cultural framing of your drops (meaning, intent, narrative)

• Discovery via NowNook’s audience and campaigns

• Early access to drop features and platform evolution

• Optional editorial support during drop setup

• Traffic referral to your existing storefront or checkout (where applicable)

NowNook acts as a cultural layer and discovery surface, not a fulfilment or payment intermediary. NowNook does not require you to change how you currently operate your business.

4. COMMISSION & PAYMENTS

During the Founding / Early Access Phase:

• 0% commission

• You retain 100% of all revenue

• NowNook does not process payments

Purchases (if any) occur via:

• Your own website

• Your existing checkout or payment provider

• Your existing logistics and fulfilment flow

Future Monetisation

NowNook may introduce monetisation mechanisms in the future as the platform evolves.

Any such changes will:

• Be communicated clearly in advance

• Never apply retroactively

• Require updated terms or explicit opt-in where relevant

No fees or commissions will be introduced without transparency.

5. PRICING, SHIPPING & LOGISTICS

You retain full control over:

• Product pricing

• Shipping methods

• Shipping costs

• Customs duties and regional policies

Shipping and customs do not need to be included in the product price and may be handled as you currently do.

NowNook does not:

• Hold inventory

• Fulfil orders

• Manage returns or refunds

6. CREATOR RESPONSIBILITIES

You remain solely responsible for:

• Order fulfilment and shipping

• Customer service and communication

• Returns, refunds, and replacements

• Compliance with consumer protection laws in your operating regions

What matters on NowNook:

• Drops are finite

• Availability is clearly defined

• The release is intentional, not permanent catalogue stock

These principles guide curation and presentation and do not constitute strict contractual obligations or guarantees.

7. INTELLECTUAL PROPERTY

You retain 100% ownership of:

• Your brand

• Your products

• Your designs, visuals, and written content

You grant NowNook a non-exclusive, revocable licence to use submitted content solely for:

• Platform display

• Editorial storytelling

• Promotion of your work on NowNook channels

This licence may be revoked upon leaving the platform, subject to a reasonable period required to remove or archive existing promotional content.

We will never:

• Claim ownership of your work

• Sell or repurpose your content outside NowNook

8. EXCLUSIVITY

There is no exclusivity requirement.

You are free to:

• Sell elsewhere

• Set pricing independently

• Work with other platforms

If a temporary, product-specific exclusive drop is ever discussed:

•  It must be mutually agreed

• Clearly defined

• Limited in scope and duration

9. LEAVING THE PLATFORM

You may leave NowNook at any time with 14 days’ notice.

Upon exit:

• Your profile will be removed

• Tracking will be deactivated

• No penalties apply

We may remove a creator only in cases of:

• Proven IP infringement

• Fraudulent or deceptive conduct

• Serious breach of consumer or legal obligations

10. CONFIDENTIALITY

Both parties agree to keep confidential:

• Non-public business information

• Platform mechanics and internal processes

• Private communications and commercial discussions

11. FOUNDING CREATOR STATUS

Founding Creators receive:

• Early access to platform features

• Priority consideration for future drops

• Cultural positioning as early contributors to the platform

Founding status does not imply exclusivity or obligation. All Founding Creator benefits are discretionary and may evolve as the platform develops.

12. GOVERNING LAW

This agreement is governed by the laws of England & Wales.

Any disputes fall under UK jurisdiction.

ACCEPTANCE

By accepting during onboarding, you confirm:

“I have read and agree to the NowNook Founding Creator Agreement.”

CREATOR FAQ (SUMMARY)

Do I pay anything to join?

No. Founding Creators join for free.

Do I keep full ownership?

Yes. Always.

Do I handle shipping and customers?

Yes. You retain full control.

Do I have to list all my products?

No. Only intentional, limited drops.

Can NowNook change later?

Yes — but never without transparency and notice.
